The following is a legal agreement between you (the “Licensee”) and imageharmony.com (the "Licensor").

Please read this Agreement before downloading and using any Royalty Free Image (hereinafter referred to as the "Image" or "Images"). By downloading or using the Images, you agree to be bound by this Agreement.

As a Licensee, you are free to use, modify and publish the Images as you wish, subject to the restrictions as set out below.

1) All the Images are copyrighted, proprietary and protected by international treaty provisions and other applicable laws. All rights not expressly granted are reserved. No title to or intellectual property rights to the Images are transferred to Licensee. The Licensor retains all rights not expressly granted by this Agreement. Your rights to use the Images is conditioned upon your payment of any applicable fee prior to use and your compliance with the terms of this Agreement.

2) By this Agreement, the Licensor grants the Licensee a non-exclusive, non-transferable right to use the Images for the purposes of:-

Website / online display, broadcast commercials, brochures, editorial use, advertising, promotional items, printed materials, multimedia programs and any other uses specifically approved in writing by the Licensor. Please contact the Licensor for licensing of any usage not specified in this Agreement.

3) Licensee may modify, alter, adapt, crop and create derivative works of the Images.

4) This Agreement specifically does not permit the licensee to:

a) Use Images in any form, for pornographic, libelous, scandalous, obscene, defamatory, fraudulent or immoral works and for any other purpose which is prohibited by law;

b) Sell, assign, sub-license, convey, lease, or otherwise transfer any of its right to use the Images to any other person or entity, except to the extent that any such Images have been incorporated by the Licensee into the items as specified in Clause (2) above; and

c) Claim any proprietary rights to any Images, or any portion thereof.

5) The Licensor does not warrant that the Licensee's access to the Website or the functions contained on the Website will be uninterrupted or error free, that any defects will be corrected or that the Website or the server which stores and submits content to the Licensee via the Website are free of viruses, worms, malicious computer codes transmitted on or through the Website or other harmful components.

6) Use of the Website is at the Licensee's own risk. Subject to these terms, the Licensee assumes full responsibility and risk of loss resulting from downloading, use of, or access to the Images or other material on or through the Website. Under no circumstances, will the Licensor be liable for any damages, claims, loss whatsoever, whether direct, indirect, punitive, special or consequential damages, including but not limited to loss of profits, loss of or damage to goodwill or other expectation benefit or liability to any third party, that are directly or indirectly related to the use of, or inability to use the Website or any Images provided on it. The Licensor is not responsible for the maintenance of the Images downloaded and will not be held responsible if the Licensee experiences a system crash or data loss due to the downloading or using the Images.

7) The Licensee agrees to indemnify, hold harmless and defend the Licensor, and its employees and directors, against any damages or liabilities of any kind including legal fees arising from any use of any Images other than the permitted uses specified in this Agreement.

8) Any rights granted to use the Images is conditional upon full payment received by the Licensor.
